Terms of Service

Welcome to VFI/O. These Terms of Service ("Terms") govern your access to and use of VFI/O's services, including our website, dashboard, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
These Terms constitute a legally binding agreement between you and IntelleSync ("we," "us," or "our"), the owner and operator of VFI/O. If you do not agree to these Terms, you must not use the Service.
1. Service Description
VFI/O provides a comprehensive dashboard for Voiceflow analytics, knowledge base management, and transcript management. Our Service enables you to monitor, analyse, and manage your Voiceflow AI agents and their interactions.
2. Account Registration and Eligibility
2.1 Age Requirement
You must be at least 16 years old to use VFI/O. By using the Service, you represent and warrant that you are at least 16 years of age.
2.2 Account Information
When creating an account, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.3 Multiple Accounts
Users may create multiple accounts. However, creating multiple accounts to exploit free trial offers is strictly prohibited and will result in account termination and permanent ban from the Service.
2.4 Account Sharing
You may share your account access with your own clients. However, you remain responsible for all activities conducted through your account.
3. Payment and Billing
3.1 Subscription Plans
VFI/O offers both monthly and annual subscription plans. Pricing for each plan is available on our Pricing page.
3.2 Payment Processing
All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees to your chosen payment method.
3.3 Billing Cycle
Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Your subscription will automatically renew at the end of each billing period unless cancelled.
3.4 Failed Payments
If a payment fails, we will attempt to process the payment again. Continued payment failures may result in suspension or termination of your account and access to the Service.
3.5 Refund Policy
Refunds will only be offered if the Service is down for longer than one calendar month. All refund requests must be submitted in writing to support@vfio.app.
3.6 Free Trials
Each user is entitled to one (1) free trial of the Service. Creating multiple accounts to obtain additional free trials is strictly prohibited and constitutes a violation of these Terms.
4. Acceptable Use
4.1 Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service in a manner consistent with applicable laws and regulations.
4.2 Prohibited Uses
You agree NOT to:
- Create multiple accounts to exploit free trial offers
- Use the Service for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers connected to the Service
- Reverse engineer, decompile, or disassemble any portion of the Service
- Remove, alter, or obscure any proprietary notices on the Service
- Use the Service to transmit viruses, malware, or other malicious code
- Harvest or collect information about other users without their consent
5. Intellectual Property Rights
5.1 Your Data
You retain all ownership rights to the data, content, and materials you upload, store, or process through the Service ("Your Data"). By using the Service, you grant us a limited license to use Your Data solely for the purpose of providing the Service to you.
5.2 VFI/O Platform
The VFI/O platform, software, and Service are owned by IntelleSync and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.
5.3 Trademarks
VFI/O and associated logos are trademarks of IntelleSync. You may not use these trademarks without our prior written permission.
6. Service Availability and Uptime
6.1 Uptime Guarantee
We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted or error-free operation of the Service.
6.2 Maintenance and Updates
We reserve the right to perform scheduled maintenance and updates to the Service. We will make reasonable efforts to notify you of planned maintenance that may affect Service availability.
6.3 Service Interruptions
We are not liable for any loss, damage, or inconvenience caused by Service interruptions, except as provided in Section 3.5 (Refund Policy) regarding extended outages exceeding one calendar month.
7. Data Protection and Privacy
Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We are registered in the United Kingdom and comply with UK GDPR and the Data Protection Act 2018.
8. Termination
8.1 Termination by You
You may terminate your account at any time by contacting us at support@vfio.app. Upon termination, your access to the Service will cease at the end of your current billing period.
8.2 Termination by Us
We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, with or without notice, for conduct that we believe:
- Violates these Terms, including exploitation of free trial offers
- Is harmful to other users, us, or third parties
- Violates applicable laws or regulations
- Exposes us to legal liability
In cases of account termination for violation of these Terms, you will receive three (3) days' notice prior to termination, except in cases where immediate termination is necessary to protect the Service or other users.
8.3 Effect of Termination
Upon termination of your account, you may request deletion of Your Data by contacting us at support@vfio.app. We will delete Your Data in accordance with our data retention policies and applicable laws.
Termination does not relieve you of any obligations to pay outstanding fees or charges incurred prior to termination.
9. Warranties and Disclaimers
9.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 No Guarantee
We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, or that defects will be corrected.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INTELLESYNC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless IntelleSync, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your Data or content uploaded through the Service
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
12.2 Jurisdiction
You agree that any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12.3 Dispute Resolution
Before initiating any legal proceedings, we encourage you to contact us at support@vfio.app to attempt to resolve the dispute informally.
13. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on the Service prior to the changes taking effect.
Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and IntelleSync regarding the Service and supersede all prior agreements and understandings.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
